On December 9-10, 2023, Zhi Shi Network, in collaboration with Song & Gu Law Firm, successfully conducted the third edition of the training course on Shareholder Dispute Litigation Techniques and Strategies.
Over the course of these two days, two seasoned attorneys—Lawyer Song and Lawyer Gu—shared a wealth of knowledge and practical experience through real-world cases, making complex concepts accessible and engaging.
The design of this course was rooted in a profound understanding of the complexities inherent in shareholder dispute cases, as well as the challenges faced by legal professionals in this field.
Shareholder disputes not only involve internal power dynamics within companies but also touch upon various aspects such as corporate governance, equity transfers, profit distribution, mergers, and acquisitions. Therefore, it is crucial for lawyers to be familiar with different causes of action, understand judicial standards, and master relevant techniques and strategies.
On the first day of the course, Lawyer Song began with a real shareholder dispute case, providing an in-depth analysis of the current landscape and characteristics of shareholder disputes.
Subsequently, using the liquidation of a "zombie enterprise" as a case study, he introduced the first part of the 25 causes of action under corporate law, including cases related to company dissolution, liquidation liability disputes, and applications for company liquidation.
The participating lawyers actively engaged in discussions on core issues such as the determination of the right of recovery, competition restrictions on directors and senior management, and capital reduction resolutions in cases of insolvency, ensuring a seamless integration of theory and practice.
The second day maintained the high-intensity learning atmosphere, focusing on causes of action such as disputes over profit distribution, shareholder's right to know disputes, and disputes over the return of company certificates.
Song&Gu Lawyers provided detailed interpretations of judicial standards, strategies for selecting causes of action, and key considerations in case handling, offering participants a wealth of practical insights.
Additionally, Lawyer Song shared comprehensive guidance on how equity lawyers can price their services, develop pricing strategies, and manage case processes using project management methodologies, equipping participants with actionable tools for their practice.
The two-day training deepened the lawyers' understanding of the complexities in the field of shareholder disputes and enhanced their skills and strategies for handling such cases. Through in-depth interactions with the two attorneys, participants not only gained theoretical knowledge but also received practical guidance for real-world applications.
Even after the course concluded, the participants continued to engage in lively discussions, demonstrating that the process of reflection and learning was far from over.
