Second Session of Shareholder Dispute Litigation and Negotiation Course Launched at Fudan University

On February 26, 2025, the second session of the Shareholder Dispute Litigation and Negotiation course, offered by S&G at Fudan University Law School, commenced.

Lawyer Song began by highlighting the significance of studying the 25 types of shareholder dispute causes of action for understanding corporate law and resolving shareholder disputes. He emphasized that to achieve clients' objectives, lawyers must first clarify legal relationships and then analyze the application of laws. These steps involve addressing questions such as "What rights does the plaintiff have?", "What obligations does the defendant bear?", and "What is the legal basis for the plaintiff's claim?"—all of which can be summarized by one term: causes of action.

This session centered on a real "zombie enterprise" shareholder dispute and was conducted through group discussions. Lawyer Song and five of our colleagues joined the groups to guide and assist students in discussing the selection of causes of action, including disputes over company dissolution, applications for company liquidation, liquidation liability disputes, shareholder right-to-know disputes, liability disputes for damages to company interests, and liability disputes for damages to shareholder interests.

During the session, students actively interacted with Lawyer Song and enthusiastically shared their opinions.
