Face-to-Face with Entrepreneurs 114: Discussing Equity and Control Rights with the Little Giants CEO Class

On the afternoon of November 14, 2021, Lawyer Song Haijia from our firm was invited by the Huachuang Education Research Institute to deliver a lecture on equity and corporate control rights for the 2021 Shanghai Technology Little Giants CEO Class.

Lawyer Song began by introducing the "Zhen Gongfu Case" and a real estate company shareholder dispute to highlight the characteristics of shareholder disputes, such as "one case leading to multiple cases, prolonged litigation, and the combination of criminal and civil proceedings."

Next, Lawyer Song used vivid language to explain two cases: the difficulty of convening meetings for majority shareholders and the harm caused to minority shareholders by "targeted capital increases." He pointed out that the core issue in corporate governance is the prevention and control of shareholder disputes, which hinges on the design of the "three pillars": information disclosure, decision-making rules, and exit mechanisms.

Lawyer Song's clear, engaging, and humorous explanations elicited frequent laughter from the audience. Fifty-three CEOs of Little Giants enterprises gathered together, using case studies to deepen their understanding and engage in in-depth discussions.
