On July 9, 2021, Lawyer Gu Liping was invited to the Shanghai Technology Entrepreneurship Mentor Studio to deliver a lecture titled "How Entrepreneurs Can Protect Shareholder Rights—From the Perspective of the Civil Code."
This lecture explored the forefront of judicial practice, interpreting the impact of the Civil Code on corporate law for entrepreneurs. It provided an in-depth analysis of newly revised provisions in the Civil Code, such as the entities eligible to apply for compulsory liquidation and the validity of related-party transaction contracts.
Lawyer Gu emphasized that the essence of equity financing is a conditional equity transfer agreement. To protect their interests, shareholders must take early preventive measures in three key areas: information disclosure, decision-making rules, and exit mechanisms, thereby addressing the root causes of shareholder disputes.
