On May 9, 2021, the practical course "Shareholder Dispute Litigation and Negotiation Strategies," offered by our firm at Fudan University, successfully concluded. The eighth session also served as the final exam for the semester.

This session adopted a "simulated negotiation" + "case review and real-case restoration" format. Before the class, students in each group conducted in-depth analysis and prepared strategies for the equity transaction and negotiation.

During the class, four groups representing majority shareholders and four groups representing minority shareholders engaged in a two-hour negotiation over an equity transaction. Based on the negotiation outcomes, each group drafted a framework agreement for the equity transaction and presented their negotiation process, results, and final proposals.

Finally, Lawyer Gu provided feedback and a review of the simulated negotiations for each group and restored the real-case scenario that the exercise was based on.
