The case represented by S&G in 2019 awarded the second prize in excellent case analysis. National Legal System Excellent Case Analysis Selection is an annual selection organized by The Supreme People’s Court.

The prize case was retried by Shanghai No.1 Intermediate People's Court in the second instance, in which the original judgment was dismissed, and two principals were decided:

1. To pass an oriented investment declination decision, a unanimous vote, instead of two-thirds of votes of its shareholders, is required, except for circumstances specially written in articles of corporations or bylaws;

2. Appreciated investments turned into capital reserve cannot be retrieved in a majority of vote decision for it’s still classified as investments.
