S&G Provides Corporate Governance Legal Services to a New Energy Enterprise

Our client is a new energy equipment manufacturer. Due to debt disputes involving the founder, the company needs to establish a new corporate structure to continue its operations. This involves legal issues such as asset transfers, equity incentives, corporate governance structure design, as well as tax issues related to equity and asset transactions.

Our lawyers have been entrusted to provide legal services to the client, including legal consultation, legal analysis, drafting recommendations, and preparing relevant legal documents.

The challenge in this type of project lies in ensuring that the asset transfer process does not result in the controlling shareholder being deemed to have abused their shareholder rights, thereby harming the interests of the company and its shareholders. Our lawyers will employ a "reverse engineering" approach, using judicial rulings as the basis and standard for legal risk prevention, to maximize the protection of the client’s legitimate rights and interests.
