Equity Course: Corporate Governance in Singapore National University Business School

On November 20, 2018, partner Song Haijia was invited by the National University of Singapore Business School. The course lasted for 5 days and was targeted at Chinese entrepreneurs and executives who set up companies in Singapore.

In the course, Song pointed out that corporate governance is an interdisciplinary subject which includes management and law, and there is no specific operational guidance and evaluation system for the governance of non-listed companies in Chinese law, but it can be analysed by evaluating the essence of shareholder disputes to establish the legal thinking of corporate governance.

This course uses case studies, seminars, and role-playing methods to enhance the students ability of identifying and analysing legal risk in corporate settings, and teach students to improve corporate governance mechanisms from the perspective of preventing and controlling shareholder disputes, and how to ensure equity ownership security and transaction security. The course also discussed about the legal issues involved in the design of equity incentives, equity financing programs, information disclosure and exit mechanisms.
